Terms of Service

1. Definitions

The following terms shall have the meaning indicated below:

  • "SICenter" "SICenter" refers to mex strategic intelligence center, S.A. de C.V., a variable capital corporation incorporated under the laws of the United Mexican States, with address in Mexico City.
  • "Services" "Services" refers collectively to subscription services, support services, and any other services that Customer has ordered and SICenter has agreed to provide.
  • "Customer" "Customer" means the individual or entity that accepts these Terms of Service.
  • "Authorized User" "Authorized User" means Customer's employees, consultants, contractors, agents, or other business users who are authorized by Customer to access and use the Services.
  • "Customer Data" "Customer Data" means any data and information that SICenter obtains as a result of Customer and its Authorized Users' use of the Services.
  • "Platform" "Platform" means SICenter's proprietary software platform used to provide the Services.
  • "Asset" "Asset" means a unique asset defined as any identifiable system, device, service, or component addressable by a distinct subdomain, domain, or IP address, regardless of the number of ports or services exposed.

2. Provision of Services

2.1 Access to Subscription Services

Subject to Customer's compliance with these Terms of Service and timely payment of applicable fees, during the duration of the applicable Subscription Term, SICenter shall make the Subscription Services available to Customer solely for Customer's internal business use, in accordance with applicable law.

2.2 Data Privacy and Security Measures

SICenter will implement appropriate technical and organizational security measures to protect Customer Data against unauthorized access, alteration, disclosure, or destruction, in accordance with the Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP) and other applicable laws of Mexico.

3. Acceptable Use

Customer and its Authorized Users agree to:

  • Use the Services only for legitimate purposes and in accordance with these Terms of Service and applicable law.
  • Not attempt to gain unauthorized access to the Services, other accounts, computer systems, or networks connected to the Services.
  • Not transmit any malicious code, viruses, worms, time bombs, Trojan horses, or other harmful code.
  • Not interfere with or disrupt the integrity or performance of the Services.
  • Not attempt to access the Services by any means other than the interface provided by SICenter.

4. Fees and Payment

Customer will pay SICenter the fees specified in the applicable Order Form. All fees are non-refundable, except as required by the Federal Consumer Protection Law of Mexico.

Fees will be billed in advance according to the billing period specified in the Order Form. Customer is responsible for providing accurate and current billing information.

5. Intellectual Property

All rights, titles, and interests in and to the Services, the Platform, and the Documentation, including all intellectual property rights, are and will remain the exclusive property of SICenter and its licensors. Customer does not acquire any ownership rights in the Services, except the usage rights expressly granted in these Terms of Service.

6. Confidentiality

Each party agrees to maintain the confidentiality of all confidential information of the other party received in connection with these Terms of Service and not to use such information for any purpose other than the fulfillment of these Terms of Service.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SICENTER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF SICENTER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SICenter's total liability under these Terms of Service shall not exceed the fees paid by Customer to SICenter in the twelve (12) months preceding the event giving rise to the claim.

8. Term and Termination

These Terms of Service will take effect when Customer accepts these terms and will continue during the Subscription Term specified in the applicable Order Form.

Either party may terminate these Terms of Service for material cause if the other party does not remedy such cause within thirty (30) days after receiving written notice of the cause.

Upon termination of these Terms of Service for any reason: (a) all outstanding Order Forms and access to Subscription Services will automatically terminate; (b) Customer and its Authorized Users shall immediately cease access and use of the Services; and (c) all outstanding payment obligations of Customer will become due and payable immediately.

9. Governing Law and Dispute Resolution

These Terms of Service will be governed by and construed in accordance with the laws of the United Mexican States, without reference to conflict of laws principles. Any dispute arising from or related to these Terms of Service will be submitted to the exclusive jurisdiction of the competent courts of Mexico City, Mexico.

10. General Provisions

10.1 Notices

All required notices will be given in writing to the address of each party set forth in the applicable Order Form, or to such other address as either party may substitute by written notice to the other.

10.2 Force Majeure

Neither party will be liable to the other party, nor be deemed to have defaulted under these Terms of Service, for any failure or delay in its performance under these Terms of Service due to any cause beyond its reasonable control.

10.3 Entire Agreement

These Terms of Service (together with any Order Forms and linked terms) contain the entire agreement of the parties concerning the subject matter of these Terms of Service and supersede all prior communications, representations, agreements, and understandings, either oral or written, between the Parties with respect to its subject matter.

10.4 Modifications

SICenter reserves the right to modify these Terms of Service at any time. Modifications will take effect when published on SICenter's website. Continued use of the Services after such modifications constitutes Customer's acceptance of the modified Terms of Service.
